Arash Aminpour is the Founder and Managing Partner of Aubrey Payton, an Ai-enabled corporate and strategic tax advisory law firm designed to deliver institutional-caliber counsel to entrepreneurs, founders, executives, and private companies. His practice focuses on complex corporate, transactional, and tax matters, with particular depth in mergers and acquisitions, private equity and venture investments, fund formation, executive compensation, and strategic tax structuring.
Arash advises clients across the full business lifecycle—from entity formation and early-stage capital raising to growth transactions, liquidity events, and post-closing optimization. He is frequently engaged by founder-led and sponsor-backed businesses that require sophisticated legal and tax guidance traditionally associated with large law firms, but delivered in a more agile, commercially pragmatic, and founder-aligned manner.
Prior to founding Aubrey Payton, Arash built his career advising on high-stakes transactions and tax matters involving sophisticated counterparties, institutional investors, and private equity sponsors. His experience includes advising on buy-side and sell-side M&A transactions, minority and control investments, fund formations, complex partnership and pass-through structures, executive and equity incentive arrangements, and cross-border and multi-jurisdictional tax planning. He has also served in senior in-house and advisory roles, giving him a practical understanding of operational constraints, risk tolerance, and decision-making dynamics from the client’s perspective.
Arash’s tax practice emphasizes proactive planning and structural foresight. He regularly counsels clients on U.S. federal, international, and state and local tax matters, including Qualified Small Business Stock (Section 1202) planning, transaction tax structuring, partnership allocations, exit planning, and after-tax outcome optimization. His approach integrates tax considerations directly into corporate and transactional strategy, rather than treating tax as a post-hoc compliance exercise.
A defining feature of Arash’s practice is his role as a strategic partner rather than a reactive service provider. Clients engage him not only to document transactions, but to identify issues early, evaluate alternative structures, and align legal and tax strategy with long-term business objectives. He is known for high judgment, precision, and a disciplined, execution-oriented approach that prioritizes clarity, risk management, and value creation.
Prior to entering the legal profession, Arash served in the United States Army, where he developed the leadership, operational discipline, and risk-assessment mindset that continue to inform his legal practice. He served as a Team Leader with the 474th Sapper Unit (Area Clearance), a role that required responsibility for personnel leadership, mission planning, and execution in high-consequence environments.
During his military service, Arash was recognized for his performance and professionalism and was awarded the Global War on Terrorism Campaign Medal, the National Defense Service Medal, and the Army Achievement Medal. His military experience instilled a rigorous approach to preparation, accountability, and decision-making under pressure—principles that directly translate to his work advising clients on complex, time-sensitive, and high-stakes transactions.
Outside of client work, Arash is deeply engaged in building scalable legal service models that integrate advanced technology and Ai-driven workflows to enhance analytical rigor, efficiency, and client outcomes. Through Aubrey Payton, he continues to develop a modern law-firm platform that combines institutional sophistication with entrepreneurial alignment and a measurable return on investment for clients.
